DANIELS("Daniels"or"Lot 2 Owner"),and MAISTRO INVESTMENTS, LLC,a North Carolina lim- ited partnership("Maistro"). STATEMENT OF PURPOSE Each of the parties is the owner of a certain lot of real property in the Town of Maiden,Catawba County,North Carolina ("Lots"). The Lots are adjacent to one another. Maistro is the owner of that certain lot known as Lot 1 Wynswept as shown on Plat Book 68, Page 194, Catawba County Registry. Daniels is the owner of that certain lot known as Lot 2 Wynswept as shown on Plat Book 68,Page 194,Catawba County Registry. Lot 2 receives all of its pota- ble water from a drinking water well("Well") located on Lot 1,and also uses the septic facilities("Septic") located on Lot 1 for all of its wastewater disposal. The parties wish to enter into this Agreement in order to set forth the terms upon which the Well and Septic shall be used. AGREEMENT NOW,THEREFORE, in consideration of the mutual covenants and easements herein granted to each party and for the benefit of any future owners of the Lots,the receipt and sufficiency of which is hereby acknowledged,and intend- ing to be legally bound hereby,the parties hereby agree and declare,establish and reserve the following: 1. Easements for Well and Septic Lines. The owner of Lot I hereby grants and establishes upon its Lot a permanent, non-exclusive appurtenant easement benefiting Lot 2 for the%presence, use and maintenance of the lines • across his Lot serving the Well and Septic(including electric lines),as Such lines are presently located and constructed ("Lines") as shown as the existing Septic Line Area on the attached Exhibit A as well as for the Well located on the property line between Lot 1 and Lot 2. Any person performing maintenance pursuant to this easement shall repair and replace any paving or landscaping disturbed by such construction to the same or better condition as the same existed prior to such construction. 2. Indemnification of the Owner of Lot 2,The owner of Lot 2 shall protect, defend and hold harmless the owner of Lot I from any liability,loss,cost,damage and expense to the owner of Lot 1 arising out of or in any way con- nected to the use of the Weil or Septic. 3. Duty to Provide Well and Septic by the Owners of Lot 1.The owners of Lot 1 shall have the obligation to honor this Agreement to provide the Well or the Septic as long as this Agreement is in effect. Should the owner of Lot 2 choose at any time in their sole discretion to tap onto municipal water or sewer and cease using the Well or the Septic, then the owner of Lot 2 terminate this agreement. The owner of Lot 2 shall have an easement to go upon Lot 1 for the limited purpose of maintaining the Well and Septic. The owner of Lot I may not terminate the provision of the Well or Septic for any other reason except for the breach of this Agreement by the owner of Lot 2,or as otherwise set forth here- in. 4. Maintenance of Well and Septic. a. Lines.The owner of Lot 2 shall be solely responsible for the necessary maintenance,repair and replace- ment of any of the Well or Septic Lines located on Lot 1. b. Well and Septic Components Located on Lot I. The owner of Lot 2 shall be solely responsible for any maintenance,repair or replacement costs of the Well itself and the Septic tank and Septic field located on Lot 1. 5. Covenants of Lot Owners. a. The easements granted in this Agreement are for the benefit of and restricted solely to the parties hereto, their heirs,successors or assigns,as their interest may appear.The easements and rights granted herein,unless otherwise dedicated for public use,will,in no event,be construed to create any right in or benefit to the general public. b. The easements,covenants and restrictions contained in this Agreement are not personal but are appurte- nant to and shall run with the land benefited and burdened thereby and shall be binding upon all present and future own- ers of the Lots,their successors in title or interest and their permitted assigns. Upon the conveyance of any of the lots,all the rights and obligations shall be considered assumed by said purchaser. c. No permanent structure except those existing at the time of this Agreement may be built upon the ease- ment area set forth in Paragraph 1 hereof.
